These Terms of Service (these “Terms”) constitute a legally binding agreement between you and Skew Technologies, Inc. (“Skew,” “we,” “us,” or “our”) governing your access to and use of the Skew website, applications, interfaces, APIs, software, market interfaces, content, and related products and services that link to these Terms (collectively, the “Services”).
Please read these Terms carefully.
By accessing or using the Services, connecting a wallet, signing a message or transaction through the Services, submitting an order, or otherwise interacting with a market through the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Services.
Your use of the Services is also subject to our Privacy Policy, applicable market-specific rules, and any additional terms presented in connection with particular features or services.
1. Skew and the Services
Skew provides software interfaces, market infrastructure, information, and related technology that enable eligible users to discover, analyze, and interact with financial and outcome-based markets.
Certain markets accessible through the Services may be created, configured, deployed, administered, or settled by Skew pursuant to infrastructure and standards made available through the Hyperliquid Layer-1 blockchain (“Hyperliquid L1”), including the framework commonly referred to as HIP-4.
A market deployed under such framework is referred to in these Terms as a “Market.”
Skew may provide functionality including:
- displaying Markets;
- displaying market prices and market data;
- displaying charts, analytics, probabilities, positions, or related information;
- facilitating wallet connections;
- enabling users to submit signed instructions or transactions;
- enabling interaction with Markets deployed through Hyperliquid;
- creating and configuring Markets;
- establishing market-specific settlement and resolution criteria;
- providing market descriptions, educational content, ideas, or analytics;
- providing APIs or software integrations; and
- providing other functionality related to financial or outcome markets.
The nature and availability of the Services may change over time.
2. Hyperliquid and Third-Party Infrastructure
Skew operates independently from Hyperliquid and does not own or control Hyperliquid L1, its validators, its consensus mechanisms, or third-party software and services that may be necessary to interact with Hyperliquid.
Orders, transactions, transfers, settlement events, and other blockchain activity may be processed, recorded, matched, validated, or settled through Hyperliquid or other third-party infrastructure rather than directly by Skew.
Skew does not guarantee the continued availability, operation, security, functionality, or performance of:
- Hyperliquid;
- Hyperliquid L1;
- validators;
- blockchain networks;
- smart contracts;
- market templates;
- oracles;
- data providers;
- wallet software;
- RPC providers;
- internet infrastructure; or
- other third-party systems.
Changes to Hyperliquid, its governance, technical specifications, fees, market templates, staking requirements, settlement mechanics, APIs, or other functionality may materially affect the Services or Markets.
3. No Brokerage, Advisory, Custodial, or Fiduciary Relationship
Unless expressly stated otherwise in writing, Skew is not acting as your:
- broker;
- broker-dealer;
- investment adviser;
- commodity trading adviser;
- financial adviser;
- bank;
- custodian;
- trustee;
- agent; or
- fiduciary.
Skew does not provide personalized investment, financial, tax, accounting, or legal advice.
Nothing available through the Services constitutes a recommendation that any particular Market, position, strategy, asset, trade, or transaction is appropriate for you.
You are solely responsible for evaluating whether any Market or transaction is appropriate for your financial circumstances, objectives, experience, and risk tolerance.
4. Eligibility
You may use the Services only if:
- you are at least eighteen (18) years old or the age of legal majority in your jurisdiction, whichever is greater;
- you have the legal capacity and authority to enter into these Terms;
- your access to and use of the Services is lawful in every jurisdiction applicable to you;
- you are not subject to sanctions or other legal restrictions that prohibit your use of the Services;
- you are not located, organized, incorporated, resident, or ordinarily resident in a jurisdiction from which access to the Services is prohibited by Skew, Hyperliquid, applicable law, or applicable third-party service providers;
- you are not otherwise a person prohibited from accessing Hyperliquid or the applicable market infrastructure; and
- your use of the Services does not violate any contractual, fiduciary, confidentiality, employment, regulatory, or other legal obligation applicable to you.
You are responsible for determining whether you are legally permitted to use the Services.
Skew does not represent or warrant that the Services are appropriate, authorized, licensed, or legally available in every jurisdiction.
5. Geographic Restrictions
Access to some or all of the Services may be restricted based on geographic location.
Skew may use IP addresses, network information, wallet information, information provided by Hyperliquid APIs or infrastructure, and other technical signals to determine whether access should be permitted.
You may not:
- use a virtual private network (“VPN”);
- use a proxy;
- spoof your location;
- provide false or misleading residency information;
- manipulate network or device information; or
- use any other technique
for the purpose of circumventing geographic, sanctions, compliance, eligibility, or other access restrictions.
Skew may modify geographic restrictions at any time to reflect legal, regulatory, technical, business, or third-party requirements.
6. Wallets and Non-Custodial Access
The Services may allow you to connect or interact through a blockchain wallet.
Wallet connectivity may be provided using third-party infrastructure, including WalletConnect, Alchemy, or other providers.
Unless expressly stated otherwise, Skew does not custody assets held in your self-custodial wallet and does not have the ability to recover assets or reverse transactions executed by you through that wallet.
You are solely responsible for:
- maintaining control of your wallet;
- protecting private keys, passwords, seed phrases, recovery credentials, and authentication information;
- ensuring the security of your devices;
- verifying wallet addresses;
- reviewing transactions before signing;
- verifying the accuracy of transaction parameters; and
- all activity authorized using your wallet or credentials.
Never provide a private key or seed phrase to Skew.
Loss or compromise of wallet credentials may result in permanent loss of assets.
Blockchain transactions may be irreversible.
7. Orders and Transactions
When you submit an instruction, order, or transaction through the Services, you authorize that instruction to be transmitted to the applicable blockchain, market infrastructure, smart contract, protocol, or third-party service.
Submission does not guarantee:
- acceptance;
- execution;
- matching;
- settlement;
- a particular execution price;
- a particular fill quantity;
- availability of liquidity; or
- successful blockchain confirmation.
Transactions may fail or execute differently from your expectations because of:
- price movements;
- liquidity;
- network congestion;
- latency;
- oracle updates;
- smart-contract behavior;
- protocol rules;
- validator activity;
- software errors;
- user error;
- third-party failures; or
- other factors.
You are solely responsible for reviewing and approving transactions before signing them.
8. Market Rules
Each Market may be governed by market-specific terms, including:
- the underlying or reference asset;
- outcome definition;
- strike or threshold;
- expiration date and time;
- settlement time;
- reference price or index;
- oracle or data source;
- averaging or calculation methodology;
- corporate-action treatment;
- resolution criteria;
- fallback data sources;
- treatment of market disruptions;
- extraordinary-event procedures; and
- any other conditions applicable to settlement
(collectively, the “Market Rules”).
Market Rules Control
The Market Rules are binding and control the settlement and resolution of the applicable Market.
In the event of any inconsistency between the Market Rules and:
- a Market title;
- ticker;
- chart;
- abbreviated description;
- promotional material;
- educational content;
- push notification;
- social-media post; or
- other user-interface element,
the Market Rules shall control.
You are responsible for reviewing the applicable Market Rules before trading.
9. Market Resolution and Settlement
Markets may resolve using prices, values, events, determinations, data, or other information obtained from designated sources specified in the applicable Market Rules.
Such sources may include:
- exchanges;
- financial data providers;
- public filings;
- government publications;
- APIs;
- blockchain data;
- oracle networks;
- reference markets; or
- other identified sources.
A Market may resolve differently than a user expects based on ordinary-language interpretation of its title or subject matter.
The applicable Market Rules determine resolution.
To the extent permitted by applicable protocol rules, Skew may determine, publish, submit, administer, or facilitate a Market’s resolution in accordance with the Market Rules.
10. Market Clarifications, Errors, and Extraordinary Circumstances
Skew may publish clarifications regarding Market Rules where reasonably necessary to address:
- ambiguity;
- typographical errors;
- data-source changes;
- obvious mistakes;
- corporate actions;
- market disruptions;
- unavailable data;
- delayed publication;
- changes in reference instruments;
- forks;
- redenominations;
- technical failures; or
- other unforeseen circumstances.
Skew will endeavor not to modify the fundamental economic meaning of a Market after trading has begun except where reasonably necessary to address an error, legal requirement, protocol requirement, market-integrity concern, or circumstance not reasonably contemplated when the Market was created.
Where a designated data source is unavailable, unreliable, discontinued, materially erroneous, or otherwise unsuitable, Skew may use a fallback methodology or source if permitted by the applicable Market Rules or protocol requirements.
Skew does not guarantee that every Market will resolve normally or on its originally anticipated timeline.
11. Market Prices and Information
Market prices are influenced by the activity of market participants and should not be interpreted as:
- a prediction by Skew;
- an opinion of Skew;
- investment advice;
- a probability guaranteed by Skew;
- a representation regarding future events; or
- a guarantee of settlement value.
Skew may display prices, probabilities, charts, historical information, volatility measures, analytics, ideas, trade structures, market commentary, or other data.
Such information may be incomplete, delayed, inaccurate, or derived from third-party sources.
You should independently verify information before relying on it.
12. Trading and Market Risks
Trading Markets involves substantial risk and may result in the complete loss of the amount committed to a position.
Risks include, without limitation:
Market Risk
Market prices can move rapidly and unpredictably.
Liquidity Risk
A Market may have limited liquidity, wide spreads, limited depth, or no available counterparty for a desired trade.
Resolution Risk

15. Confidential Information, Inside Information, and Improperly Obtained Information
You may not trade or attempt to trade in a Market using information that:
- was obtained through theft, hacking, fraud, deception, bribery, or other unlawful means;

- was disclosed to you in breach of an NDA, employment agreement, fiduciary duty, contractual duty, or other confidentiality obligation;
- constitutes an unlawful tip;
- was obtained through unauthorized access to systems or information; or
- would otherwise make your trading unlawful.
You are solely responsible for determining whether information in your possession may lawfully be used for trading.
16. Persons Able to Influence an Outcome
You may not trade in a Market where you possess the ability, authority, or intention to improperly determine, manipulate, control, or materially influence the Market’s underlying outcome.
For example, depending on the circumstances, this restriction may apply to:
- company executives or employees with control over an outcome;
